CMi2i Launches Remuneration Review

With remuneration a hot topic yet again this proxy season, and more investors requesting executive compensation be linked to KPIs for ESG progress, CMi2i's experienced proxy and governance team is now offering remuneration reviews that provide insights on the market’s assessment of the proposal, whether the policy is likely to pass, and the amendments that could be made to help ensure it will.

This new service has already helped several CMi2i clients successfully pass Remuneration Policies and Reports that had initially been challenged and /or rejected by shareholders. For other clients, it has helped them attain the shareholder votes needed for approval the first time by ensuring alignment with a) best practice and b) stakeholders’ expectations in terms of disclosure and governance.

Specifically, CMi2i's remuneration review service provides clients with the following:

    • Identification of potential concerns that may be raised by proxy advisors and investors

    • Short term recommendations (editorial amendments) with the aim of improving the legibility of the proposals and which may in turn help mitigating concerns from investors and proxy advisors

    • Long term recommendations (substantial amendments) in order to improve the company’s remuneration policy and disclosure ahead of next year's AGM, with the aim to further align with European best practices

    • An analysis of the Proxy Advisors Allegiance of the shareholder base, and a projection of the leading proxy advisors’ recommendations on remuneration items at the AGM

These remuneration reviews equip corporate issuers and their advisors with actionable market intelligence that helps them to assess, revaluate and modify their policies/reports, ultimately allowing them to present proposals they are confident will be approved.
